Job Purpose
To design, implement, and oversee the company’s governance, ethics, and compliance framework, promoting effective corporate governance, a strong ethical culture (“tone from the top”), and compliance with applicable laws, regulations, and internal policies. The role also provides limited governance- and compliance-related legal support to the General Counsel or senior leadership, as required.
Job Description
Governance & Oversight
• Develop and maintain the Compliance Charter, clearly defining authority, responsibilities, and reporting lines, and obtain appropriate management and Board approval.
• Support the Board and relevant committees in updating and maintaining Board and Committee Charters to include formal oversight of ethics and compliance.
• Establish and act as secretary to the Ethics & Compliance Steering Committee (or equivalent governance forum), including agenda setting, reporting, and follow-up actions.
• Develop and maintain governance frameworks aligned with industry best practices and applicable regulatory requirements.
Ethics & Compliance Framework
• Lead the development, implementation, and periodic review of core compliance policies, including but not limited to:
- Code of Conduct
- Supplier / Third-Party Code of Conduct
- Anti-Bribery & Anti-Corruption
- Conflict of Interest
- Gifts, Entertainment & Hospitality
- Whistleblowing
- Sanctions, Trade Controls, AML/CFT (as applicable)
• Coordinate internal approvals and ensure effective communication and implementation across the organisation.
Tone from the Top & Ethical Culture
• Design and implement a structured ethics and compliance communication program led by senior management.
• Integrate compliance considerations into leadership agendas and performance objectives, where appropriate.
• Support the development of executive compliance KPIs.
• Conduct periodic employee ethics and culture surveys and report outcomes to leadership.
Training, Awareness & Onboarding
• Develop and maintain an annual compliance training and awareness plan, including leadership-specific training.
• Embed ethics and compliance requirements into HR onboarding processes.
• Coordinate delivery and tracking of mandatory compliance training across the organisation.
Monitoring, Reporting & Investigations
• Oversee conflict of interest disclosures and related review processes.
• Manage whistleblowing intake, reporting, and investigation processes in coordination with relevant internal stakeholders (e.g., Legal, HR, Risk, Internal Audit).
• Prepare periodic compliance reports for Management, the Steering Committee, and the Board.
Additional Responsibilities
Stakeholder Coordination
• Act as the primary point of contact for internal functions on ethics and compliance matters, including Risk, Internal Audit, HR, and Legal.
• Support audits, assessments, and regulatory reviews relating to governance and compliance.
Corporate Governance
• Support the General Counsel and/or Board on corporate governance matters, including governance frameworks, Board and committee charters, policies, and compliance-related reporting.
• Manage and execute corporate regulatory filings and statutory renewals, ensuring continuous regulatory compliance and the integrity of corporate records.
Legal Support
• Provide non-contentious, governance- and regulatory-related legal support, including legal research, policy review, contract compliance review, and coordination with internal and external stakeholders.
Compliance
• Comply with any filing requirements imposed by local governing authorities.
• Comply with all tax reporting and payment requirements.
• Comply with the group guidelines.
• Identify and mitigate financial risks by implementing effective internal controls and risk management strategies.
• Comply with the company’s Information Security Management System (ISMS) and ISO 27001 requirements, and actively participate in regular training and audits to ensure continuous alignment with the standard.

Job Specification
Education
• Bachelor’s degree in law, Business Administration, Finance, Risk Management, or related field
Professional Certifications
• Certified Compliance & Ethics Professional (Preferred)
• Certified Internal Auditor (CIA) (Preferred)
Skills
• 7+ years’ experience in legal, ethics, compliance, or risk functions
• Strong knowledge of corporate governance frameworks and board-level structures
• Understanding of compliance program design and implementation
• Familiarity with regulatory environments and risk management principles
• Policy drafting and regulatory interpretation skills
• Experience managing whistleblowing and investigation processes
• Knowledge of anti-bribery, conflict of interest, AML/CFT, and sanctions frameworks
• Ability to prepare Board-level reporting and executive summaries
• Stakeholder engagement and cross-functional coordination capability
• Training and awareness program design experience
• Strong analytical and documentation skills
